1. Agreement to Terms
By accessing or using the Website Innovator website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Website Innovator (PROIT LLC) provides web design, software development, SEO, and digital marketing services. The specific terms for each project will be outlined in a separate service agreement or proposal.
3. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information
- Respond to requests for content, feedback, and approvals in a timely manner
- Ensure you have the rights to any content you provide
- Pay invoices according to agreed-upon terms
4. Intellectual Property
Client Content: You retain ownership of all content you provide to us (logos, text, images, etc.).
Our Work: Upon full payment, you will own the custom work created specifically for your project. We retain the right to display the work in our portfolio.
Third-Party Assets: Some projects may include third-party assets (stock photos, fonts, plugins) which are subject to their own licenses.
5. Payment Terms
- A deposit is required to begin work (typically 50%)
- Final payment is due upon project completion, before launch
- Late payments may incur additional fees
- Specific payment terms are outlined in project proposals
6. Project Timeline
We will provide estimated timelines for all projects. Delays caused by late client feedback, content delivery, or scope changes may extend the timeline.
7. Revisions and Changes
Project proposals include a specified number of revision rounds. Additional revisions or scope changes may incur additional fees.
8. Hosting and Maintenance
Unless otherwise agreed, clients are responsible for their own hosting and ongoing maintenance. We offer maintenance packages as an optional service.
9. Limitation of Liability
Website Innovator shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid for the specific service in question.
10. Warranties
We warrant that our work will be performed in a professional manner. We do not guarantee specific results such as search engine rankings, traffic increases, or conversion rates.
11. Termination
Either party may terminate a project with written notice. Upon termination:
- Client pays for all work completed to date
- Client receives all completed work upon payment
- Deposits are non-refundable
12. Confidentiality
We will keep your business information confidential and will not share it with third parties without your consent, except as required by law.
13. Governing Law
These terms are governed by the laws of the State of Maryland. Any disputes shall be resolved in the courts of Montgomery County, Maryland.
14. Changes to Terms
We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the new terms.
